Terms of Service

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you or the entity you represent ("Customer," "you") and Cyber Silo Tech ("CyberSilo," "we," "us"), governing your access to and use of the CyberSilo platform, products, and related services (collectively, the "Services").

These Terms apply to all tiers of the CyberSilo platform, including free trials, pilot deployments, and paid subscriptions. In the event of any conflict between these Terms and a separately executed Enterprise Agreement or Order Form, the Enterprise Agreement shall control to the extent of the conflict.

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-product notification. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

The following terms have specific meanings throughout this Agreement. You can filter by typing below:

Account

A registered user profile that allows access to one or more CyberSilo Services, associated with a specific email address and organisation.

Authorised Users

Employees, contractors, or agents of the Customer who are permitted to access the Services under the Customer's Subscription.

Customer Data

All security logs, threat intelligence feeds, event data, configuration data, and other information provided to or processed by the Services by or on behalf of the Customer.

Documentation

The technical documentation, user guides, API references, and product specifications made available by CyberSilo at docs.cybersilo.tech.

Order Form

A mutually executed order document, SOW, or online checkout confirmation that specifies the Services purchased, quantity, and pricing.

Platform

The CyberSilo SaaS platform accessible at app.cybersilo.tech and via API, including all products: ThreatHawk SIEM, Agentic SOC AI, ThreatSearch TIP, and Compliance GRC.

Service Level Agreement (SLA)

CyberSilo's commitments regarding Platform uptime, response times, and support as detailed in Section 11 of these Terms.

Subscription

The time-limited licence granted to Customer to access the Services, as specified in an Order Form or online purchase.

Subscription Term

The period during which Customer is authorised to access the Services, commencing on the subscription start date in the Order Form.

ThreatHawk SIEM

CyberSilo's Security Information and Event Management product that provides real-time threat detection, log aggregation, and incident response capabilities.

Agentic SOC AI

CyberSilo's AI-powered Security Operations Center automation product that uses large language models and agentic frameworks to triage, investigate, and respond to security alerts.

ThreatSearch TIP

CyberSilo's Threat Intelligence Platform providing curated, contextualised threat feeds and indicator-of-compromise (IOC) enrichment services.

Compliance GRC

CyberSilo's Governance, Risk, and Compliance tooling that automates compliance frameworks including ISO 27001, SOC 2, NIST, PCI-DSS, and HIPAA.

Confidential Information

Non-public information disclosed by either party under this Agreement, clearly marked as confidential or that a reasonable person would understand to be confidential given the nature and context of disclosure.

DPA

Data Processing Agreement — a separate agreement that governs the processing of personal data by CyberSilo on behalf of the Customer.

CyberSilo provides the following enterprise cybersecurity SaaS products. Access to each product is subject to the applicable Subscription and any product-specific addenda:

CyberSilo may update, modify, or add features to the Services at any time. We will notify Customers of changes that materially reduce functionality of paid Subscriptions with at least 60 days' notice. We reserve the right to deprecate legacy features with appropriate customer transition support.

To use the Services, you must register for an Account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.

Subject to these Terms and your Subscription, CyberSilo grants you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business security operations. Permitted uses include:

• Monitoring your own network infrastructure, endpoints, and cloud environments for security threats
• Ingesting and analysing your organisation's security logs, events, and telemetry data
• Using threat intelligence to enrich and contextualise your security investigations
• Automating security workflows and playbooks for your internal SOC team
• Running compliance assessments against frameworks relevant to your industry
• Using the API to integrate CyberSilo with other tools within your security stack
• Exporting reports and evidence for audit, board reporting, or regulatory submissions
• MSSP/service providers may use the platform for multiple client environments under a separately negotiated MSSP Agreement

You agree NOT to use the Services for any of the following purposes. Violation of this section may result in immediate account termination and legal action:

• Scanning, probing, or testing the vulnerability of any system or network without explicit written authorisation from its owner
• Conducting offensive cyber operations, attacks, or intrusion activities against any third-party infrastructure
• Reverse engineering, decompiling, disassembling, or attempting to derive the source code of any part of the Platform
• Sublicensing, reselling, or providing access to the Services to any third party except as permitted under an MSSP Agreement
• Using the Services to process or store data in violation of applicable privacy laws or without required consents
• Uploading malicious code, viruses, or any content designed to damage or impair CyberSilo infrastructure or other customers
• Attempting to gain unauthorised access to any other customer's data or any CyberSilo backend systems
• Using the Services in connection with weapons development, illegal surveillance, or any purpose prohibited by applicable law
• Interfering with the integrity or performance of the Services or circumventing any rate limits or access controls
• Framing or mirroring the Services on any other website without CyberSilo's prior written consent
• Removing or obscuring any copyright, trademark, or proprietary notices from the Services or Documentation
• Using AI outputs from Agentic SOC AI as the sole basis for security-critical decisions without human review

Subscription fees are specified in your Order Form or online checkout. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

Any feedback, suggestions, or ideas you provide to CyberSilo regarding the Services ("Feedback") may be used by CyberSilo without restriction or compensation. You hereby assign to CyberSilo all rights in any Feedback you provide.

AI-generated outputs produced by Agentic SOC AI based on Customer Data ("AI Outputs") are provided to Customer under a limited licence for internal use. CyberSilo makes no representations regarding the ownership or patentability of AI Outputs.

Each party agrees to hold the other party's Confidential Information in strict confidence and not to disclose it to any third party without prior written consent, except as necessary to perform its obligations under this Agreement or as required by applicable law.

Each party agrees to: (a) use the other's Confidential Information only for purposes permitted under this Agreement; (b) protect it with at least the same degree of care used for its own confidential information, but no less than reasonable care; and (c) limit disclosure to employees or contractors with a need to know who are bound by equivalent obligations.

Confidential Information does not include information that: (i) is or becomes publicly available through no breach of this Agreement; (ii) was rightfully known by the receiving party before disclosure; (iii) is independently developed without use of Confidential Information; or (iv) is received from a third party without restriction.

These confidentiality obligations survive the termination or expiration of this Agreement for a period of five (5) years, except for trade secrets which shall remain confidential indefinitely.

Where Customer uses the Services to process personal data on behalf of third parties (e.g., employee security monitoring), Customer and CyberSilo will enter into a separate Data Processing Agreement (DPA), which forms part of this Agreement. The DPA governs CyberSilo's role as a data processor and Customer's role as data controller under GDPR, PIPEDA, UAE PDPL, and other applicable privacy laws.

CyberSilo processes its own users' personal data (account information, usage data) as a data controller, as described in our Privacy Policy. CyberSilo implements appropriate technical and organisational security measures as described in the Privacy Policy and any applicable DPA.

SLA credits are the Customer's sole and exclusive remedy for uptime failures. Credits must be requested within 30 days of the incident. Scheduled maintenance and events beyond CyberSilo's reasonable control (force majeure) are excluded from uptime calculations.

These limitations apply regardless of the form of action (contract, tort, negligence, or otherwise) and even if CyberSilo has been advised of the possibility of such damages. Notwithstanding the above, nothing in these Terms limits liability for: (i) fraud or fraudulent misrepresentation; (ii) death or personal injury caused by negligence; (iii) gross negligence or wilful misconduct; or (iv) any liability that cannot be excluded by applicable law.

This Agreement is governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm related to intellectual property infringement or breach of confidentiality obligations.

Class Action Waiver: To the extent permitted by applicable law, each party waives the right to bring or participate in a class action lawsuit against the other party in connection with this Agreement.

All legal notices under this Agreement must be in writing and sent to the addresses above (for CyberSilo) or to the registered email address on the Customer's account (for Customer). Notices are effective upon confirmed delivery.

These Terms, together with any Order Form, DPA, and addenda, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior agreements, representations, and understandings. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. Failure to enforce any provision does not constitute a waiver of future enforcement rights.
